The Irish Financial Services Regulatory Authority is the Financial Regulator in Ireland and is responsible, since 1 May 2003, for the authorisation and ongoing regulation of all financial services firms and investment funds in Ireland. (www.financialregulator.ie).
We represent many domestic and international institutions and corporations (as well as start-up entities) carrying out investment business services or providing investment advice in or from Ireland. The areas in which we are particularly involved relate to investment managers and investment advisers, fund administrators and fund custodians.
In particular, we advise on:
- the application of Ireland's investment intermediaries legislation to Irish persons carrying out prescribed activities, whether domestically or internationally;
- the availability of exemptions from the requirement for regulatory authorisation;
- the regulatory approval procedures required to be undertaken to obtain authorisation in Ireland. In this respect we have significant experience in providing detailed guidance and assistance in relation to all aspects of the authorisation process, including advising on capital requirements, the funding thereof, compliance procedures and individual suitability requirements;
- the steps to be taken to avail of and exercise 'passport' rights under European Union legislation;
- ongoing compliance with relevant regulatory requirements;
- the drafting of template documentation for all elements of the business undertaken by investment business firms; and
- structuring and documentation of investment products.
More generally, the firm's inward investment team can also advise on all aspects of establishing a business in Ireland.
We are active participants in industry representative bodies and assume a pro-active role in relation to legislation and regulatory requirements applicable to this industry.
