McCann FitzGerald advises on cross-border merger of Champion Products Europe Ltd and Champion Northern Europe AB

We advised Champion Products Europe Ltd on its cross-border merger with Champion Northern Europe AB, registered in Sweden. This transaction was subject to pre-merger approval by the High Court of Ireland and by the Swedish authorities and, following further review by the High Court of Ireland acting under EU law, resulted in Champion Northern Europe AB being absorbed by Champion Products Europe Ltd. Under the relevant EU legal procedure as implemented in Ireland and in Sweden, the Swedish company has been dissolved without going into liquidation and all of its assets, liabilities and employees have become assets, liabilities and employees of the Irish company. The transaction value is not disclosed.
